Terms and Conditions

  1. Definitions
  • Confidential Information: Any proprietary or sensitive information disclosed by one party to another, including trade secrets, business strategies, and terms of this Agreement.
  • Event: The 2025 Chinese New Year Celebration on March 1 and March 2, 2025.
  • Law: Any applicable statute, ordinance, regulation, or rule enforced by a governmental authority.
  • Mark: Trademarks, trade names, service marks, logos, or domain names identifying the source of goods or services.
  • Person: Any individual, corporation, partnership, or other legal entity.
  • Representatives: Officers, employees, consultants, and legal advisors of a party.
  • Sponsor Marks: Marks identified in Schedule C, if provided.
  • Sponsorship Benefits: Benefits provided by the Organizer to the Sponsor upon event signup.
  • Territory: The United States.
  1. Sponsorship The Organizer engages the Sponsor as an Exhibition Booth sponsor for the Event, subject to these terms and conditions.
  2. Sponsorship Fee and Obligations
  • The Sponsor agrees to pay the sponsorship fee within three (3) days of the Effective Date.
  • The Sponsor shall:
  • Collect and remove any cardboard boxes brought to the Event.
  • Assist with post-event cleanup.
  • Provide its own water supply and other necessary booth supplies.
  • Adhere to all obligations specified in this Agreement.
  1. Sponsorship Benefits The Organizer will provide the Sponsor with the Sponsorship Benefits upon receipt of the sponsorship fee and fulfillment of obligations by the Sponsor.
  2. License Grants The Sponsor grants the Organizer a non-exclusive, non-transferable license to use the Sponsor Marks in the Territory during the Term for promotional purposes associated with the Event.
  3. Organizer Obligations:
  • The Organizer does not guarantee the Sponsor will make money.
  • Plan, advertise and manage the Event as described in Schedule A.
  • Notify the Sponsor of material changes to the Event.
  • Secure and comply with all necessary permits and approvals.
  • Our platform provides a space for sponsors to showcase their businesses and activities. Please note that the platform does not offer warranties, guarantees, or protections regarding the interests or outcomes of participating sponsors.
  1. Changes to the Event If adverse weather conditions occur, the Organizer may reschedule the Event to an alternative date within two weeks. No refunds will be issued if the rescheduled Event occurs within this timeframe.
  2. Sponsor Responsibilities
  • Return the booth in its original condition.
  • Dispose of garbage and debris appropriately.
  • Ensure compliance with the 8′ height limit for garage entries.
  • Use designated loading zones for setup and teardown.
  • Provide power extension cords and additional power supplies for larger devices as needed.
  • The Sponsor is fully responsible for their own safety, including risks from cooking fire, power supply, and other hazards.
  • For food booths, the Sponsor is responsible for food safety.
  1. Term This Agreement is effective from the Effective Date until the completion of the Event, unless terminated earlier as provided herein.
  2. Termination
  • The Organizer may terminate the Agreement at any time with one (1) day’s written notice.
  • Either party may terminate the Agreement for material breaches or insolvency of the other party.
  • Certain provisions, including confidentiality and indemnification, shall survive termination.
  1. Representations and Warranties Each party warrants its authority to enter into this Agreement and that its obligations will not infringe on any third-party rights.
  2. Confidentiality Each party agrees to safeguard the other party’s Confidential Information and use it solely for the purposes of this Agreement. Exceptions apply to publicly available or independently developed information.
  3. General Provisions
  • The relationship between the parties is that of independent contractors.
  • Notices shall be sent to the addresses specified in this Agreement.
  • This Agreement constitutes the entire understanding between the parties and supersedes prior agreements.
  • The Agreement shall be governed by the laws of California, with venue in Santa Clara County.

Acceptance By engaging with this Agreement, the Sponsor and Organizer acknowledge and agree to these Terms and Conditions.
